Why Form Your LLC in Texas?
Texas is the largest LLC market in America, and with no state income tax, no franchise tax below $2.65M in revenue, and the most active business formation environment in the US, it's where serious operators build.
Maximum Privacy
Texas does not require member or manager names on the Certificate of Formation. When we file for you, our name goes on the document as organizer, not yours. This means your personal name is not included on the filing we submit to the state.
Zero State Income Tax
Texas has no personal or corporate income tax. No inventory tax. No gross receipts tax. The franchise tax applies only to businesses above $2.65M in annual revenue, below that threshold, you file a No Tax Due Report but owe nothing to the state. Keep more of what you earn.
Asset Protection
Texas LLC statutes provide charging order protection as the primary remedy for a creditor of an LLC member, meaning creditors face significant statutory barriers when attempting to seize LLC assets. Texas also permits series LLCs, allowing multiple series under one filing. Consult a licensed Texas attorney for advice specific to your situation.
Frequently Asked Questions
Answers to the questions we hear most about Texas LLCs.
How do I form an LLC in Texas?
When you choose our Complete or Professional plan, we handle the entire process, Certificate of Formation, registered agent appointment, and state filing with the Texas Secretary of State. Most clients have their documents within one to two business days.
Does Texas have a state income tax?
No. Texas has no personal state income tax and no corporate income tax. Businesses with annual revenue under $2.65 million (2026 threshold, adjusted periodically by the state) are also exempt from the Texas franchise tax. This makes Texas one of the most tax-friendly large-state formations in the US. Consult a licensed CPA to confirm your current No Tax Due eligibility.
What is the Texas franchise tax?
The Texas franchise tax applies only to businesses with annual revenues above $2,650,000 (the 2026 No Tax Due threshold, adjusted periodically by the Comptroller). Below that threshold there is no tax owed. The tax is filed annually by May 15 alongside a Public Information Report, but for most small businesses the return is a zero-liability filing. Always consult a licensed Texas CPA for advice specific to your revenue situation.
What is a Texas registered agent?
A registered agent is a person or entity designated to receive legal documents and official state mail for your LLC. Texas law requires every LLC to maintain a registered agent with a physical Texas street address. A PO Box is not acceptable.
Can a non-resident form a Texas LLC?
Yes. Texas has no residency or citizenship requirement for LLC formation. Anyone, domestic or international, may form a Texas LLC. You will need a Texas registered agent with a physical address.
Are Texas LLC member names public record?
Texas LLCs are not required to list member or manager names on the Certificate of Formation. The Registered Agent and Registered Office address are public, but member identity is not mandated on state filings. Our formation service handles this correctly from the start.
As of March 2026, the federal Corporate Transparency Act reporting requirement has been suspended for domestic LLCs. You do not need to file a Beneficial Ownership Information (BOI) report for your Texas LLC.
We Track Your Deadlines So You Don’t Have To
Annual reports, filing renewals, compliance reminders, every plan includes automatic deadline tracking at 60, 30, and 7 days before each filing is due. Others charge $69–$299/year extra for this. Ours is included.
Automatic Reminders
We notify you well before deadlines designed to help you stay ahead of filings and late penalties.
Annual Report Filing
Add annual report filing to any plan for $99 and we handle the paperwork and state fees on your behalf.
Good Standing Made Simple
Stay compliant without memorizing state rules. We keep your LLC in good standing year after year.
From Our Clients
The best measure of our service is the trust our clients place in us.
"They told me 48 hours but I had everything back in less than a day. My name doesn't show up on any public filing, which was the whole point for me. Honestly for $99 a year with the compliance calendar included, it's a no brainer."
"I kept putting this off because I thought forming an LLC was going to be this whole big thing. It really wasn't. They took care of everything and I didn't have to figure out any of it. Kicking myself for not doing it sooner."
"I needed my home address off of anything connected to my business. That was the big thing for me. They set me up with a real business address, handle all my state documents, and I don't have to think about it. Best money I've spent on my business, hands down."

Why Texas for your LLC?
Texas is the second-largest state economy in the country and, for many founders, the most practical place to plant a flag. There is no personal state income tax, no corporate income tax, and the Texas Business Organizations Code recognizes the Series LLC under §101.601, a structure real estate investors and multi-project operators lean on to segregate assets under a single parent filing.
The catch most first-time filers miss is the Texas franchise tax and its companion, the Public Information Report (PIR). Businesses with annual revenue under the state's No Tax Due threshold owe nothing, but the PIR still has to be filed by May 15 each year. Skip it and the state forfeits your right to transact. We put every client on a compliance calendar designed to flag that date long before it becomes a problem.
- No state income tax on LLC members, whether you live in Texas or not.
- Series LLC under §101.601, segregate properties, investment sleeves, or business lines inside one parent entity.
- Member names off public record, Texas does not require member or manager identities on the Certificate of Formation.
- Travis County venue for most state-level business disputes, with a deep bench of business-court judges.
Texas rewards operators who stay organized. We are built for that. Consult a licensed Texas CPA or attorney for advice specific to your revenue, structure, or tax situation.
Do I need to file a Texas franchise tax report if I have zero revenue?
Yes, even below the No Tax Due threshold, every Texas LLC must file an annual report package by May 15, which includes the Public Information Report. The tax due may be $0, but the filing itself is mandatory. Our compliance calendar is designed to surface this date well in advance.
Can a non-Texas resident use a Series LLC to hold rental properties?
Yes. Texas has no residency requirement for LLC formation or series creation. Out-of-state investors often use a Texas Series LLC to hold multiple rental properties under one parent entity, where each child series is intended to have its own asset/liability wall under §101.602. Asset protection outcomes depend on state recognition, record-keeping, and facts, consult a licensed attorney before structuring this way.
Getting Started in Texas
When you place your order, we prepare your Certificate of Formation for filing with the Texas Secretary of State through the state's SOSDirect system. Standard turnaround runs 3–5 business days for online submissions; expedited 24-hour processing is available for an added state fee. You will receive your stamped Certificate, your EIN (if you selected that plan), a Texas-specific operating agreement drafted around §101.601 Series-ready provisions, your registered agent appointment, and a first-year compliance calendar pre-loaded with the May 15 PIR deadline. From the moment you check out, our job is to keep you out of the Comptroller's reminder queue.
